IAMNATIV Terms and Conditions for Creatives

1. ABOUT IAMNATIV
IAMNATIV is an African social enterprise that creates socially forward media content for founders, NGOs, foundations, development agencies, organisations, brands and other purpose-driven businesses.
We produce authentic, culturally intelligent content with trusted local creatives across more than 15 African countries.
IAMNATIV works with independent filmmakers, photographers, producers, directors, editors, journalists, writers, researchers, translators, fixers, sound professionals and other specialists to deliver professional productions for our Clients.
These Creative Terms and Conditions govern the relationship between IAMNATIV and any independent Creative engaged by IAMNATIV for a Project.
By accepting an assignment, confirming availability, commencing work or accepting payment for an IAMNATIV Project, the Creative agrees to these Terms.
2. DEFINITIONS
"IAMNATIV", "we", "us" or "our" means Aymak Creative Ventures Ltd trading as IAMNATIV.
"Creative", "you" or "your" means the independent creative professional engaged by IAMNATIV.
"Client" means the organisation, company, NGO, foundation, brand, development agency, media organisation or other entity for whom IAMNATIV is producing the Project.
"Project" means the specific production or assignment for which the Creative has been engaged.
"Assignment" means the role, services, dates, location, fee and Deliverables agreed with the Creative for a Project.
"Deliverables" means the work specifically requested from the Creative as part of the Assignment.
"Materials" means footage, photographs, audio, recordings, scripts, research, interviews, designs, files, documents, metadata, project files and other materials created or collected for the Project.
"Client Materials" means information, documents, data, footage, photographs, branding or other materials supplied by the Client or IAMNATIV.
3. INDEPENDENT CREATIVE RELATIONSHIP
The Creative is engaged as an independent contractor and not as an employee of IAMNATIV, unless a separate written employment agreement expressly states otherwise.
Nothing in these Terms creates:
an employment relationship;
partnership;
joint venture;
franchise;
agency relationship; or
authority to bind IAMNATIV contractually.
The Creative is responsible for their own tax obligations, registrations, insurance and statutory obligations arising from their independent professional activities, except where IAMNATIV is legally required to make a deduction or withholding.
These Terms do not create any entitlement to ongoing work. Each Project or Assignment is separately agreed.
4. PROJECT ASSIGNMENTS
IAMNATIV may offer Assignments to Creatives based on:
expertise;
location;
availability;
experience;
language;
cultural knowledge;
technical capability;
Client requirements;
previous performance; and
Project needs.
An Assignment may be confirmed by email, written brief, messaging platform, production management system or other written communication.
The Assignment may specify:
Project;
Client;
Creative role;
dates;
location;
working hours or production days;
Deliverables;
technical specifications;
fee;
approved expenses;
deadlines; and
special requirements.
The Creative must review the Assignment and raise any concerns before accepting it.
5. ACCEPTING AN ASSIGNMENT
Once a Creative confirms an Assignment, IAMNATIV may rely on that commitment when scheduling production, Client meetings, travel, equipment, locations and other resources.
A Creative must not accept an Assignment and subsequently become unavailable without a legitimate reason.
If circumstances change, the Creative must notify IAMNATIV as soon as reasonably possible.
Where a Creative withdraws from a confirmed Assignment without reasonable cause, IAMNATIV may recover reasonable additional costs directly resulting from the withdrawal, subject to applicable law.
6. PROFESSIONAL EXPECTATIONS
Creatives are expected to represent themselves professionally and to maintain standards consistent with IAMNATIV's reputation.
Creatives must:
arrive on time and prepared;
communicate promptly;
meet agreed deadlines;
follow the approved creative brief;
deliver work to the agreed professional standard;
respect Clients, participants, communities and production colleagues;
maintain professional boundaries;
follow reasonable production instructions;
raise problems promptly;
protect Project Materials; and
act honestly and ethically.
IAMNATIV expects Creatives to contribute their expertise and creative judgement while remaining within the agreed Project scope.
7. COMMUNICATION
Clear communication is an essential part of every IAMNATIV production.
Creatives must remain reasonably reachable during an active Assignment and promptly communicate:
delays;
illness;
travel problems;
equipment failure;
loss of files;
safety concerns;
changes in availability;
inability to meet a deadline;
problems with a participant or Client; or
any other matter that may materially affect the Project.
If the Client communicates directly with a Creative about a material change to the Project, the Creative must inform the IAMNATIV Producer.
Creatives must not independently agree to additional work, costs, locations, production days or Deliverables with a Client without IAMNATIV's approval.
8. CLIENT RELATIONSHIPS
IAMNATIV owns and manages the Client relationship.
A Creative may communicate directly with a Client where this is necessary for the Project.
However, the Creative must not:
negotiate IAMNATIV's fees;
quote the Client independently;
make contractual commitments on behalf of IAMNATIV;
promise additional work;
represent that they own the Client relationship;
disclose IAMNATIV's internal commercial arrangements;
undermine IAMNATIV's relationship with the Client; or
encourage the Client to bypass IAMNATIV.
Where a Client asks the Creative about future work, the Creative should refer the request to IAMNATIV.
9. NON-CIRCUMVENTION AND DIRECT CLIENT ENGAGEMENT
The Creative must not knowingly circumvent IAMNATIV by using a relationship, introduction, contact or Project obtained through IAMNATIV to secure direct work from an IAMNATIV Client for substantially similar services without IAMNATIV's prior written consent.
This restriction applies during the Project and for 12 months following completion of the relevant Project.
This does not prevent a Creative from working with a Client where the Creative can demonstrate that a genuine professional relationship existed independently before the IAMNATIV introduction.
Where a Client wishes to engage a Creative directly, the Creative must inform IAMNATIV.
IAMNATIV may agree to a direct engagement subject to appropriate commercial arrangements.
10. CREATIVE QUALITY AND DELIVERY
The Creative is responsible for delivering work that meets the agreed Project specifications.
Depending on the Assignment, this may include:
technically usable footage;
properly exposed and focused images;
clean and usable audio;
correct framing and composition;
appropriate file formats;
agreed resolution;
accurate file naming;
organised folders;
metadata;
transcripts;
captions;
translations;
research;
scripts;
edited sequences; or
other agreed Deliverables.
The Creative must notify IAMNATIV promptly if the agreed technical or creative requirements cannot reasonably be achieved.
11. PROJECT MATERIALS AND FILE MANAGEMENT
The Creative must take reasonable steps to protect Project Materials from:
loss;
theft;
corruption;
accidental deletion;
unauthorised access; or
unauthorised disclosure.
Where applicable, the Creative must maintain appropriate backups until the Materials have been successfully transferred to IAMNATIV or the designated production system.
The Creative must follow IAMNATIV's agreed file-transfer, naming, storage and backup procedures.
12. DELIVERY OF RAW MATERIALS
Unless otherwise agreed, all Project Materials captured or created by the Creative must be delivered to IAMNATIV as part of the Assignment.
This includes, where applicable:
raw footage;
rushes;
photographs;
audio recordings;
interview recordings;
project files;
transcripts;
research;
metadata; and
other source Materials requested by IAMNATIV.
The Creative must not withhold Project Materials because of a dispute concerning payment, scope or another matter.
Any commercial dispute must be addressed separately from the Client's access to its Project Materials.
13. INTELLECTUAL PROPERTY
The Creative acknowledges that the Project is commissioned by IAMNATIV for the benefit of its Client.
The ownership and licensing of copyright and other intellectual property in the Creative's work will be governed by the Assignment and any applicable written agreement between IAMNATIV and the Creative.
Unless expressly agreed otherwise in writing, the Creative grants IAMNATIV all rights reasonably necessary for IAMNATIV to:
use;
reproduce;
edit;
adapt;
translate;
combine;
publish;
distribute;
communicate;
license; and
deliver
the Materials as part of the Project and in accordance with the rights IAMNATIV has agreed with its Client.
Where an Assignment or separate Creative Agreement requires an assignment of copyright or other rights, the Creative agrees to execute any reasonable documentation required to give effect to that assignment.
The Creative retains ownership of pre-existing work, tools, techniques and materials that were not specifically created for the Project, provided that their use does not restrict IAMNATIV's agreed use of the Project Deliverables.
Uganda's Copyright and Neighbouring Rights framework expressly provides for assignment, licensing and transfer of copyright, and the 2026 amendment updated the relevant provisions.
14. MORAL RIGHTS AND CREDIT
Where legally permitted, the Creative agrees to cooperate with reasonable requests concerning attribution, editing, adaptation, translation, formatting and other production requirements.
Where a Creative credit has been agreed, IAMNATIV will use reasonable efforts to provide the agreed credit.
Credit does not give the Creative ownership of the Project or a right to control the Client's use of the Deliverables.
15. PORTFOLIO USE
Creatives may only publish or use IAMNATIV Project Materials in their portfolio, website, social media, showreel, awards submissions or other promotional materials where IAMNATIV has authorised such use.
The Creative must respect:
Client confidentiality;
embargoes;
launch dates;
publication restrictions;
participant privacy;
safeguarding requirements; and
any usage restrictions communicated by IAMNATIV.
No Project should be published before IAMNATIV confirms that it is cleared for portfolio use.
16. PRIVACY AND CONFIDENTIALITY
Creatives may have access to personal, confidential or commercially sensitive information relating to IAMNATIV, Clients, participants and Projects.
Creatives must:
keep such information confidential;
only collect and use personal information necessary for the Project;
not share participant or Client contact details without authorisation;
not publish private information;
not upload confidential information to unauthorised platforms or AI systems;
securely store Project files;
protect recordings, photographs and personal data;
immediately report suspected data breaches or unauthorised disclosure; and
return or delete confidential information when instructed.
These obligations continue after the Creative's Assignment ends.
IAMNATIV will handle personal information in accordance with applicable data-protection law, including Uganda's Data Protection and Privacy Act and the Data Protection and Privacy Regulations, 2021.
17. PARTICIPANT CONSENT AND SAFEGUARDING
Where the Assignment involves interviews, photography, filming or interaction with members of the public, the Creative must follow IAMNATIV's instructions regarding consent and participant protection.
Where children or vulnerable persons are involved, additional safeguarding requirements may apply.
Creatives must not:
pressure individuals to participate;
misrepresent the purpose of the production;
exploit vulnerable individuals;
publish private participant information;
independently share participant contact details; or
use participant images or recordings outside the Project without authorisation.
Any safeguarding concern must be reported to IAMNATIV immediately.
18. CULTURAL AND EDITORIAL RESPONSIBILITY
IAMNATIV is committed to culturally intelligent storytelling.
Creatives are expected to treat people and communities with dignity and respect.
Creatives must not knowingly:
fabricate facts;
fabricate interviews;
materially misrepresent events;
manipulate documentary content in a misleading manner;
exploit poverty or vulnerability;
reinforce harmful stereotypes; or
create misleading representations of people or communities.
Where reconstruction, staging or creative interpretation is required, this should be agreed with IAMNATIV as part of the creative approach.
19. AI AND DIGITAL TOOLS
Creatives must disclose material use of AI-generated or synthetic content where that use could affect the identity, likeness, voice, statements or factual representation of an individual or event.
Creatives must not:
clone a person's voice without appropriate authorisation;
create a synthetic representation of a Client, participant or other identifiable person without approval;
upload confidential Client information into public AI systems;
use AI to fabricate documentary evidence; or
use AI-generated content in a manner that materially misrepresents the Project.
AI may be used for appropriate production assistance where consistent with the Project brief and IAMNATIV's instructions.
20. THIRD-PARTY MATERIALS
Creatives must not incorporate third-party music, footage, photographs, graphics, fonts, software, artwork or other copyrighted material into a Project without authorisation.
Where third-party materials are proposed, the Creative must inform IAMNATIV and provide relevant licensing information.
The Creative must not assume that material found online is free to use.
Any unauthorised use of third-party material that creates liability for IAMNATIV may result in the Creative being responsible for losses caused by their breach, subject to applicable law.
21. EQUIPMENT
Where the Creative uses personal equipment, the Creative is responsible for ensuring that the equipment is suitable for the Assignment.
Where IAMNATIV or a Client provides equipment, the Creative must exercise reasonable care.
The Creative must immediately report:
theft;
loss;
damage;
malfunction; or
other incidents affecting Project equipment.
22. EXPENSES
Only expenses approved by IAMNATIV in advance will ordinarily be reimbursable.
Approved expenses may include:
transport;
accommodation;
meals;
permits;
equipment;
location costs;
communication costs; or
other Project-specific expenses.
The Creative may be required to provide receipts or other supporting documentation.
The Creative must not incur significant additional costs on behalf of IAMNATIV without prior approval.
23. FEES AND PAYMENT
The Creative's fee will be agreed in writing before the Assignment begins.
The agreed fee may be based on:
production day;
project;
deliverable;
milestone;
edit;
photograph;
assignment; or
another agreed basis.
Unless otherwise agreed, payment will be made after the Creative has completed the agreed Deliverables and submitted any required invoice, documentation or expense records.
IAMNATIV may withhold or delay payment where:
agreed Deliverables have not been supplied;
required files are missing;
an invoice is incomplete;
approved expenses have not been supported;
the Creative has not completed agreed work; or
there is a genuine unresolved dispute concerning the Assignment.
Any legally required tax withholding may be deducted from payments.
24. CHANGES TO THE ASSIGNMENT
A Creative must not materially change the agreed scope without IAMNATIV's approval.
If additional work is requested, the Creative should obtain confirmation from IAMNATIV before undertaking work that will result in additional fees.
A Client request made directly to the Creative does not automatically constitute approval for additional payment.
25. CANCELLATION AND RESCHEDULING
IAMNATIV may cancel or reschedule an Assignment where circumstances require it.
Where a cancellation occurs before the Creative has commenced work, the Creative will generally have no entitlement beyond approved non-refundable expenses or any cancellation fee expressly agreed in writing.
Where a Creative has already undertaken approved work, IAMNATIV will pay for properly completed work in accordance with the agreed fee arrangement.
Where the Creative withdraws from a confirmed Assignment without reasonable cause, IAMNATIV may recover reasonable additional costs caused directly by that withdrawal, subject to applicable law.
26. CONFLICTS OF INTEREST
Creatives must disclose any actual or potential conflict of interest that may affect an IAMNATIV Project.
This includes circumstances where the Creative:
is simultaneously working for a directly competing Client on the same matter;
has a financial interest in a supplier;
has a close personal relationship with a participant that could affect the production;
has another commitment that could materially interfere with the Assignment; or
has another interest that could compromise professional independence.
IAMNATIV will determine how the conflict should be managed.
27. BRIBERY, FRAUD AND IMPROPER PAYMENTS
Creatives must not offer, request, receive or facilitate bribes, kickbacks, secret commissions or other improper payments in connection with an IAMNATIV Project.
Creatives must not falsify:
expenses;
receipts;
production records;
participant information;
production hours;
Deliverables; or
other Project documentation.
Any suspected corruption or fraud should be reported to IAMNATIV.
28. SAFETY AND SECURITY
Creatives are responsible for taking reasonable care of their own safety and the safety of people affected by their work.
A Creative should not knowingly undertake an unsafe activity without appropriate risk management and approval.
Where a Creative believes a Project location, assignment, travel arrangement or instruction creates a serious safety or security risk, they must notify IAMNATIV immediately.
IAMNATIV may modify, postpone or cancel production where reasonably necessary.
29. REPRESENTATION OF IAMNATIV
When working on an IAMNATIV Project, the Creative must accurately represent their role.
Unless expressly authorised, the Creative must not:
claim to be an IAMNATIV employee;
represent themselves as an IAMNATIV director or authorised spokesperson;
issue public statements on behalf of IAMNATIV;
sign contracts on behalf of IAMNATIV;
negotiate Client contracts;
promise future IAMNATIV work; or
make commitments outside their Assignment.
30. CONFIDENTIAL CLIENT INFORMATION
A Creative must not use information learned through an IAMNATIV Project to benefit themselves or another organisation.
This includes information concerning:
Client strategy;
unpublished campaigns;
funding;
budgets;
donor information;
project plans;
participant information;
unpublished research;
commercial opportunities;
internal communications; and
future production plans.
This obligation survives completion or termination of the Assignment.
31. PROFESSIONAL CONDUCT
IAMNATIV expects all Creatives to contribute to a respectful working environment.
Harassment, discrimination, intimidation, sexual misconduct, exploitation, threats, violence, bullying or other serious misconduct will not be tolerated in connection with an IAMNATIV Project.
IAMNATIV may immediately suspend or remove a Creative from a Project where serious misconduct or an immediate safety concern arises.
32. TERMINATION OF A CREATIVE ASSIGNMENT
IAMNATIV may terminate a Creative's Assignment where the Creative:
materially breaches these Terms;
repeatedly fails to meet agreed deadlines;
delivers work materially below the agreed standard;
breaches confidentiality;
breaches privacy or safeguarding requirements;
circumvents IAMNATIV;
engages in fraud or corruption;
behaves in a manner that creates a serious Client or production risk;
fails to communicate material production problems; or
otherwise materially compromises the Project.
Where appropriate, IAMNATIV may provide an opportunity to remedy the breach.
Serious breaches may result in immediate termination.
33. EFFECT OF TERMINATION
Upon termination or completion of an Assignment, the Creative must promptly:
deliver outstanding Project Materials;
return Client or IAMNATIV property;
return or securely delete confidential information where instructed;
provide passwords or access credentials relating to Project accounts where applicable;
provide outstanding receipts or expense documentation; and
cooperate reasonably with the handover of the Project.
Termination does not affect obligations that are intended to continue, including confidentiality, privacy, intellectual property, non-circumvention and protection of Project Materials.
34. CREATIVE'S OWN WORK AND PRE-EXISTING MATERIALS
A Creative retains ownership of work, tools, templates, techniques, equipment and intellectual property that:
existed before the Assignment; or
was independently developed without using IAMNATIV's confidential information or Client Materials.
The Creative must notify IAMNATIV before incorporating pre-existing material where doing so could restrict IAMNATIV's or the Client's ability to use the final Deliverables.
35. INSURANCE AND PERSONAL RESPONSIBILITY
Creatives are responsible for maintaining any professional, equipment, travel or other insurance appropriate to their independent professional activities.
IAMNATIV does not automatically insure a Creative's personal equipment, property or personal activities unless expressly agreed in writing.
36. DATA PROTECTION
Where a Creative processes personal information on behalf of IAMNATIV or a Client, the Creative must follow IAMNATIV's instructions and applicable data-protection requirements.
The Creative must only collect, access, retain or transfer personal information that is necessary for the Assignment.
Any suspected data breach, accidental disclosure, lost device containing Project information or unauthorised access must be reported to IAMNATIV immediately.
Uganda's Data Protection and Privacy Act regulates the collection, processing, holding, use and disclosure of personal information, and the 2021 Regulations provide additional requirements for data protection.
37. NO GUARANTEE OF FUTURE WORK
Registration with, collaboration with or acceptance of an Assignment from IAMNATIV does not guarantee future Projects, minimum earnings, a minimum number of assignments or continued engagement.
IAMNATIV may select Creatives according to the requirements of each Project.
38. CREATIVE PROFILE AND INFORMATION
IAMNATIV may maintain a professional profile for the Creative for purposes of identifying suitable production expertise.
This may include:
name;
professional biography;
portfolio;
location;
skills;
languages;
rates or rate categories;
professional experience;
availability;
equipment capabilities; and
professional references or reviews.
IAMNATIV will handle personal information in accordance with applicable privacy requirements.
39. REVIEWS AND PERFORMANCE
IAMNATIV may assess Creative performance based on factors including:
quality of work;
reliability;
communication;
professionalism;
technical performance;
Client feedback;
adherence to deadlines;
compliance with Project requirements; and
ability to work effectively within production teams.
Performance information may be used internally when determining suitability for future Assignments.
40. DISPUTE RESOLUTION
The parties will first attempt to resolve disputes through good-faith communication.
Where a dispute cannot be resolved informally, either party may pursue appropriate legal remedies.
Nothing prevents either party from seeking urgent protective or interim relief where necessary.
41. GOVERNING LAW
These Terms are governed by the laws of Uganda unless a separate written agreement expressly provides otherwise.
Subject to the dispute-resolution provisions above, the competent courts of Uganda shall have jurisdiction over disputes arising from these Terms.
42. ELECTRONIC COMMUNICATIONS
Assignments, approvals, instructions, confirmations and other Project communications may be provided electronically.
Email, electronic documents, messaging platforms and other electronic communications may be used to confirm Assignments and Project instructions where permitted by applicable law.
43. SEVERABILITY
If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall continue in effect.
The affected provision shall, where legally possible, be interpreted or modified to achieve its intended commercial purpose to the greatest extent permitted by law.
44. ENTIRE AGREEMENT
These Terms, together with the applicable Assignment, Project Brief and any separate written agreement between IAMNATIV and the Creative, constitute the agreement governing the Creative's engagement for the relevant Project.
Where there is a conflict, the Project-specific written Assignment will prevail only in relation to the specific matter it expressly addresses.
45. CHANGES TO THESE TERMS
IAMNATIV may update these Terms from time to time.
The version applicable to an Assignment will generally be the version accepted by the Creative when the Assignment is confirmed, unless the parties expressly agree otherwise.
Material changes will not retrospectively alter an already completed Assignment.
46. ACCEPTANCE
By accepting an IAMNATIV Assignment, confirming availability, commencing work or accepting payment for an Assignment, the Creative confirms that they have read, understood and agreed to these Terms and any Project-specific requirements communicated to them.
