Welcome to iamnativ.com, a platform connecting clients to verified creative professionals across Africa. By accessing or using our services, including submitting the Buyer’s Form to match with creatives, you agree to these Terms and Conditions. These Terms constitute a legally binding agreement between you and IAMNATIV.

Please read these Terms carefully, as they include provisions related to payment, liability, and other obligations. By using our services, you acknowledge and agree to all the terms set forth below, including the obligation to pay any applicable fees, such as the annual membership fee.

1. DEFINITIONS

For the purposes of these Terms and Conditions:

Client: The individual or organization completing the Buyer’s Form to hire creatives or media professionals via IAMNATIV.
Creative(s): Independent contractors, freelancers, or teams registered on the IAMNATIV platform, offering creative services.
Buyer’s Form: The form submitted by Clients specifying their project needs, preferences, and requested creative professionals.
Services: The matching, hiring, and coordination services provided by IAMNATIV.
Annual Membership Fee: The fee required to access IAMNATIV’s services, including matching and hiring creatives.
Platform: The IAMNATIV website and associated tools used for hiring and managing creatives.

2. ACCEPTANCE OF TERMS

By accessing or using the IAMNATIV platform and submitting the Buyer’s Form, you:
      1. Represent that you have the authority to bind yourself or the entity you represent to these Terms.
      2. Agree to pay the annual membership fee and any associated fees as specified on the platform.
      3. Consent to the collection, use, and storage of your information as outlined in our Privacy Policy.

If you do not agree to these Terms, including the payment obligations, you must discontinue use of the platform.

3. ANNUAL MEMBERSHIP FEE

3.1 Fee Obligation
By submitting the Buyer’s Form or engaging IAMNATIV’s services, you agree to pay the Annual Membership Fee as a condition for accessing the platform’s services. This fee covers:

      1. Access to our curated database of creatives and professionals.
      2. Matching services tailored to your project needs.
      3. Ongoing support from IAMNATIV Advisors to ensure project success.

3.2 Payment Terms

      1. The Annual Membership Fee is non-refundable and must be paid upfront.

      2. You will be prompted to pay the fee upon registration or completion of the Buyer’s Form. Services will not commence until payment is received.

      3. Failure to pay the Annual Membership Fee will result in restricted access to IAMNATIV’s services, including creative matching and hiring tools.

3.3 Renewal
      1. The membership automatically renews annually unless canceled at least 30 days before the renewal date.
      2. You will be notified of the upcoming renewal and charged using the payment method on file.

3.4 Changes to Fees
IAMNATIV reserves the right to adjust the Annual Membership Fee. Any fee changes will be communicated to you in advance and will apply to the next renewal period.

4. BUYER’S FORM AND SERVICE SCOPE

4.1 Submitting the Form
      1. By completing and submitting the Buyer’s Form, you:
      2. Provide accurate and complete project details, including the type of creative services required.
      3. Acknowledge that IAMNATIV will use this information to match you with suitable creatives from its network.

4.2 Matching Process
      1. IAMNATIV uses the details provided to identify and recommend vetted creatives aligned with your needs.
      2. While we strive to ensure an ideal match, IAMNATIV does not guarantee the availability, suitability, or specific outcomes of any creative or project.

4.3 Client Responsibility
You are responsible for providing clear project briefs, timelines, and budgets. IAMNATIV and its creatives are not liable for delays or outcomes resulting from incomplete or inaccurate information.

5. PAYMENT TERMS FOR PROJECTS

5.1 Creative Fees
      1. All creative fees are listed as estimates and are subject to negotiation between the Client and the selected          Creative(s) / iamnativ.
      2. IAMNATIV facilitates secure payment processing to ensure that all parties are compensated as agreed.
5.2 Deposit Requirement
      1. Projects exceeding $1,000 may require a deposit before the creative(s) commence work. This deposit will be held securely until project milestones are completed.

6. CLIENT OBLIGATIONS
As a Client, you agree to:
1. Pay all applicable fees promptly, including the Annual Membership Fee and any creative service fees.
2. Treat creatives with respect and maintain professionalism throughout all engagements.
3. Adhere to all timelines and project deliverables agreed upon with creatives.
4. Use the platform for lawful purposes only.

7. IAMNATIV’S ROLE AND LIABILITY

7.1 Service Provider Role
IAMNATIV acts as a facilitator, connecting Clients with creatives. We are not a party to the contractual agreements between Clients and creatives and do not assume liability for disputes arising from such agreements.

7.2 Liability Limitations
IAMNATIV is not liable for:
1. Creative performance, project outcomes, or deliverables.
2. Delays, disputes, or damages arising from engagements between Clients and creatives.
3. Indirect or consequential damages arising from use of the platform.

8. TERMINATION AND SUSPENSION

8.1 Termination by Client
You may terminate your membership by providing written notice at least 30 days before the renewal date. Refunds will not be issued for early termination.
8.2 Termination by IAMNATIV
IAMNATIV reserves the right to terminate your account or restrict access if you violate these Terms, fail to pay applicable fees, or misuse the platform.

9. INTELLECTUAL PROPERTY
All content on the IAMNATIV platform, including text, graphics, logos, and software, is the property of IAMNATIV and protected by copyright laws. Unauthorized use of this content is prohibited.

10. DISPUTE RESOLUTION
10.1 Negotiation
Parties agree to resolve disputes amicably through negotiation before pursuing legal action.
10.2 Jurisdiction
These Terms are governed by the laws of [Insert Jurisdiction]. Disputes will be resolved in the courts of Uganda.

11. CHANGES TO TERMS
IAMNATIV may update these Terms periodically. Changes will be posted on the platform, and continued use of the services constitutes acceptance of the revised Terms.
